Service Provider: InfiniNova Limited (星天域有限公司), trading as VeyJet Kai Tak Industrial Building, Block 2, Unit D07, 8th Floor, Kai Tak, Hong Kong · +852-6418-1625 The contracting party for all clients, in every market, is this Hong Kong company. There is no US contracting entity. The company registration number is not published on this page; we provide it to a client on request — write to support@infini-nova.com.
Client (parent / legal guardian): ____________________ Student: ____________________ Date of birth: ____________ Signature date: ____________ Master Order No.: ____________
This Agreement plus the signed Service Order (the “Service Order and Change Order”) form the whole engagement.
1. What we do, and the order of documents
We provide education pathway assessment, long-term growth planning, project and competition mentorship, and application-season advisory services. The Service Order states the specific scope, deliverables, cadence, dates, fee and named roles.
Order of precedence, highest first: (a) this Agreement for legal, data, integrity, liability and dispute terms; (b) the Service Order for scope, deliverables, cadence and fee; (c) the Payment, Billing and Refund Policy (Payment, Billing, Cancellation and Refund Policy); (d) the published policies. A signed Change Order overrides both. Nothing said orally changes this Agreement.
Who we take on: we currently accept engagements from families applying as residents of mainland China or Hong Kong. An engagement from a US or Canadian resident requires our written confirmation that we can take it first (see Payment, Billing, Cancellation and Refund Policy §2.5).
2. 🔴 No guarantee of outcome — the most important clause in this document
Educational outcomes depend on the independent decisions of students, schools, universities, competition organisers, testing bodies and visa authorities. We do not promise, guarantee, predict or insure any admission, scholarship, financial aid, award, ranking, research or internship placement, or visa result.
Any assessment, target list, probability language or "fit" judgment we give is professional opinion, not a forecast, and it is given on the information available at that time.
We do not provide legal, immigration, medical, psychological, tax or investment advice. Where you need it, consult a qualified professional in that field.
No employee, contractor, mentor or channel partner has authority to give a guarantee of outcome. If one is given to you, it does not bind us, and we ask you to report it to support@infini-nova.com. See Service Scope and No-Guarantee Statement.
3. Our obligations
We will:
- perform with the reasonable skill and care of a competent education consulting professional;
- staff the roles named in the Service Order, or an equally qualified substitute, and tell you when a named person changes;
- manage the schedule and tell you in reasonable time about material risks, scope changes and delays;
- protect your information under Privacy Policy and the “Data Processing Addendum”;
- uphold the Academic Integrity Policy (Academic Integrity and Student Original Work Policy) without exception; and
- disclose any conflict of interest — including any commission, referral fee or commercial relationship with a school, programme or provider we recommend — before we recommend it.
On North American mentors: their participation is limited to the touchpoints, cadence and role set out in the Service Order. They are not employed by, and do not represent, any school or university, and they cannot influence any admission decision.
4. Your obligations
You will provide accurate, lawful information you have the right to provide; tell us promptly about material changes (grades, health, school change, family circumstances, travel restrictions); complete your own confirmations and payments on time; and act on deadlines we give you.
The student will personally do the student's own work — applications, essays, coursework, research, experiments, prototypes, code, data analysis, posters, presentations and submissions — and will disclose collaboration, sources, AI use and third-party contributions as each school, competition or platform requires (Academic Integrity and Student Original Work Policy).
You will not ask us to ghostwrite, complete the student's work, fabricate data or credentials, purchase a place or a result, or circumvent any rule. We will refuse, and a repeated request is a material breach.
Where your or the student's inaccuracy, delay, non-response, rule-breach, or a third party's independent decision affects the result, that is not our breach.
5. Minors
Where the student is a minor, you contract, consent and pay as the legal guardian. You confirm you hold that authority and will tell us at once if it changes. We do not assume custodial, medical, school-disciplinary or emergency responsibility for the student. In an emergency we will contact you and, where reasonably necessary, emergency services. See Minors, Guardian Consent and Student Records Policy and the signed acknowledgment at the “Guardian Authority, Student Original Work and Safety Acknowledgment”.
6. Fees and what is not included
Fee, currency, tax treatment, instalment schedule, late-payment handling and invoicing are in the Service Order and governed by Payment, Billing, Cancellation and Refund Policy.
Not included unless the Service Order says so in words: SAT/ACT/AP/IB registration and preparation courses, competition entry fees, summer programmes, university courses, research platforms, laboratory equipment and materials, travel and accommodation, application fees, score-report fees, and any third-party programme fee.
Where we help you evaluate or shortlist a third-party opportunity, we do not guarantee its quality, availability, admission, refund or performance, and our fee is for our work, not for access to it.
Any discount, credit or extra service is valid only if confirmed in writing by an authorised person.
7. Changes, pause, cancellation and refund
You may request a change, pause or cancellation at any time, in writing, under Payment, Billing, Cancellation and Refund Policy. Within 5 business days of receiving a cancellation request we will give you a written statement of: work completed and evidenced, unrecoverable third-party costs actually incurred, materials we will hand over, the refund amount and how it was calculated, and how to dispute it.
We may suspend, on written notice and with a reasonable chance to remedy (except where there is an immediate safety, integrity or legal risk), if you are materially overdue on payment, persistently unresponsive, or the engagement has moved outside our competence.
We do not use "no refunds under any circumstances" and we do not reserve a right of final interpretation. Any refund calculation must be clear, fair, and must not exclude a right you hold under mandatory consumer law.
8. Academic integrity and termination for cause
On reasonable suspicion of ghostwriting, plagiarism, fabrication, purchased results, competition-ethics or safety breach, or harassment of our people, we may immediately suspend the affected work, ask for an explanation and underlying evidence, and investigate. On confirmed serious breach we may terminate the Order, retain fees for work actually performed, and pursue our remedies. This does not limit any right the student holds by law.
We may also refer out or terminate on a conflict of interest, a competence limit, or where the student's safety requires it, handing over completed materials on a reasonable basis.
9. Confidentiality and data
Each party will keep the other's non-public personal, commercial and educational information confidential, except where law requires disclosure or where disclosure is needed to prevent serious harm.
We process personal information under Privacy Policy, Minors, Guardian Consent and Student Records Policy, the “No Data Exchange Commitment, and Where Your Data Lives” and the “Data Processing Addendum”. Any public use of the student's name, image, school, project, result or testimonial requires a separate, specific, written, revocable release (the “Testimonial, Case Study and Likeness Release”), which is never a condition of service, price or completion.
10. Intellectual property
The student owns the student's own work. You own what you supply. We own our frameworks, templates, assessment instruments, roadmaps and written reports as works of authorship — and we grant you a perpetual, non-exclusive licence to use the deliverables for the student's own educational purposes, which is what you actually need. You may not resell them or use them to build a competing service.
11. Liability
11.1 We do not exclude or limit liability for fraud or fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or anything that cannot lawfully be limited — including your non-waivable rights as a consumer.
11.2 🔴 Cap. Subject to 11.1, our aggregate liability arising out of or in connection with a Service Order is limited to the total service fees you have actually paid under that Order as at the date the claim arises — not the full Order value and not the contract price.
What this means for you, stated plainly rather than buried. If you have paid a first instalment only, the cap is that instalment. The cap moves with the payment schedule, so the schedule in `07` §4 is part of this clause, not just a cash-flow term.
11.3 Subject to 11.1, we are not liable for indirect, incidental, special, punitive or consequential loss, loss of opportunity, or loss caused by the independent decision of any school, university, competition, testing body, platform or visa authority.
11.4 Limitation period. A claim must be brought within 24 months of the act or omission complained of, or such longer period as mandatory law requires.
11.5 Your indemnity is limited to third-party claims arising from material you supplied that you had no right to supply, or from an instruction that breached Academic Integrity and Student Original Work Policy. It does not apply to a minor and does not limit a minor's rights.
12. Force majeure
Neither party is liable for delay caused by an event beyond its reasonable control. We will tell you promptly, mitigate, and reschedule. If it lasts more than 60 days, either party may terminate and §7 applies to the unperformed portion.
13. Complaints
Write to support@infini-nova.com. We acknowledge within 1 business day with a case reference and a named owner, and complete fact-finding within 5 business days or explain the delay. We will not require you to withdraw a complaint as a condition of resolving it, and we will not retaliate. Procedure: the “Complaints, Refunds and Incident Response”.
14. Governing law and disputes
This Agreement is governed by the laws of the Hong Kong Special Administrative Region. The parties will negotiate in good faith for 15 days before commencing proceedings.
Failing agreement, the dispute is referred to arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under its rules in force at the time, with the seat in Hong Kong, the language English, and one arbitrator. The award is final. Either party may apply to a court of competent jurisdiction for interim or protective relief without waiving this clause.
Nothing in this clause deprives you of the protection of mandatory consumer law of the place where you habitually reside, or of access to a court there where that law provides.
15. General
This Agreement and the Service Order are the entire agreement and supersede prior discussions. Changes must be in writing. If a clause is held invalid the rest survives. You confirm you had a fair opportunity to read, ask about and understand the clauses highlighted in red above (§2 and §11.2). Electronic signature and records are valid to the extent the law allows. Neither party may assign without consent, except that we may assign to a successor of our business on notice.
16. Language
The English text governs. The Chinese text is provided so the contract can be read and understood; where the two differ, the English text prevails — the contracting party is a Hong Kong company and the legal text is the English one.
This does not displace any language right you have under mandatory law where you habitually reside — a contract of adhesion with a Quebec consumer must additionally be made available in French (see Canada Privacy Notice (PIPEDA, Quebec Law 25, CASL) §3).
